Terms & Conditions
1. Agreement
These Terms & Conditions (“Terms”) govern your access to and use of LVLUP Agents AI (the “Service”), the website at ai.lvlup.network, and the ORION Control desktop application (the “App”), all provided by Project LVLUP, LLC (“LVLUP,” “we,” “us”). By creating an account, subscribing, downloading, or running the App, you agree to these Terms.
2. The Service
The App is a local-first multi-agent platform for macOS. It executes real system-level operations on your machine — shell commands, file edits, network requests — at your direction and through agents you configure. Use the App at your own risk. You are responsible for reviewing actions suggested or taken by ORION and its worker agents, for the state of your system, and for the consequences of agent actions.
3. Eligibility
You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. At launch, the Service is available only to residents of the United States; international availability will follow. You represent that your use complies with all laws applicable to you.
4. Accounts & security
You are responsible for the accuracy of the information you provide at sign-up, for keeping your credentials confidential, and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
5. Subscription & billing
5.1 Subscription. Access to the App requires an active subscription at US $12.00 per month, billed in advance through Stripe. The subscription renews automatically each month until cancelled.
5.2 Entitlement. Your subscription is represented in the App as a short-lived signed JWT. The App caches the JWT and re-validates on boot. Offline use is supported while the cached JWT is valid.
5.3 Grace window. If a scheduled renewal fails (e.g., declined card), the App continues to function under a “subscription lapsed” banner for a 3-day grace window. After the grace window, the App locks until the subscription is restored.
5.4 Cancellation. You may cancel at any time from your account page. Cancellation stops the next renewal; you retain access through the end of the paid period.
5.5 No refunds. All payments are final. We do not offer prorated refunds for partial months, unused time, or cancellation.
5.6 No free tier. There is no free tier, free trial, or complimentary access.
5.7 Price changes. We may change the subscription price with at least 30 days’ notice by email. If you do not agree to a price change, you may cancel before it takes effect.
5.8 Professional services (Stripe). Optional services may be billed separately in Stripe, including: Basic Support at no additional charge as an included entitlement (not a separate billed product); Technical Consulting + Systems Integration at US $75 per 30-minute increment (one-time billing per increment); and Build Custom High-End Niche Operator at US $997 as a one-time base rate for quote-scoped work. Total project fees for custom work are not limited to the base rate; the full amount (including any fees beyond the base) is set in the applicable statement of work or quote you agree to. Scope and deliverables for paid services are governed by that separate agreement.
6. License & restrictions
Subject to your compliance with these Terms and an active subscription, LVLUP grants you a limited, non-exclusive, non-transferable, revocable license to install and run the App on Macs you own or control for your personal or internal business use. You may not:
- Reverse engineer, decompile, or disassemble the App except as expressly permitted by law.
- Bypass, disable, or interfere with subscription validation, code signing, or entitlement checks.
- Redistribute, resell, sublicense, or rent the App or your account.
- Use the App to violate law, to harm others, or to process data you are not authorized to process.
7. Third-party services
If you enable online model providers (Anthropic, OpenAI, Google, Mistral, Groq, xAI, DeepSeek, OpenRouter, Perplexity, Together AI, Cohere, or others), your use of those providers is governed by their terms and privacy policies. You are responsible for usage costs and for any provider-specific compliance obligations. LVLUP is not a party to your agreement with those providers.
8. Your content
You retain all rights to data you generate with or feed into the App. By using the App you grant LVLUP only the minimal rights required to operate the Service (e.g., authenticating your subscription). LVLUP does not train models on your prompts, conversations, or generated content.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM ALL VULNERABILITIES. AI-GENERATED OUTPUT MAY BE INACCURATE OR INAPPROPRIATE; YOU ARE RESPONSIBLE FOR REVIEWING IT BEFORE ACTING ON IT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LVLUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID LVLUP IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR US $50.00, WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless LVLUP from any claim, damage, or expense arising out of your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your account for breach of these Terms, non-payment, or conduct that creates risk or legal exposure for us. You may terminate at any time by cancelling your subscription and uninstalling the App. Sections 6–14 survive termination.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Wyoming. You and LVLUP each waive any objection to personal jurisdiction and venue in those courts.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to active subscribers and reflected here with an updated effective date. Continued use after changes take effect constitutes acceptance.
